Dealer Agreement

1. Sale–  Seller has agreed to sell and Buyer has agreed to purchase goods in accordance with the plans and specifications set forth in the terms and conditions of sale listed in this agreement. An authorized Distributor/Buyer will provide quality services and maintain a knowledgeable staff to assist customers in the selection and proper application of Seller’s Products.

2. Price– The total price to be paid to the Seller by the Buyer for the goods shall be listed on price lists to be provided by the Seller to the Buyer from time to time and shall be subject to change at any time. It is further agreed that such price does not include freight, shipping, delivery and insurance costs, which shall be the sole responsibility of the Buyer unless otherwise agreed on the price list.

(A) Payment shall be made as follows: The entire amount due by buyer shall be paid in full before shipping to seller.

(B) Demo Products will be provided if needed at a discount rate.

(C) Should denial of payment by customer’s bank occur for insufficient

funds customer agrees to pay $25.00 bank fee.

(D) All payments are to be made via wire transfer or credit card.

(E) All credit card transactions are subject to a 3% processing fee.

3. Ordering

(A) All orders and correspondence should be e-mailed to glv@gammaledvision.com

(B) All orders are subject to approval by seller.

(C) New orders will not be shipped until past due invoices have been paid in full.

(D) Seller shall have the right to discontinue the sale and/or manufacture of any of the Products, to make product improvements and to materially change the design of the products, at any time and without further notice or liability of any kind to buyer or any other person.

(E) Seller should not be liable for any damages, direct, consequential, special or otherwise, including , but not limited to , any loss or goodwill of sales, and any cost incurred for promotion or advertising to buyer or any other person for seller’s failure to fill any order or orders, or for any delays in delivery, or for any errors in filling any orders , for any reasons whatsoever.

(F) In order to maintain an active account status, buyer is expected to purchase a minimum of $10,000.00 in product, directly from seller during the fiscal year (January 1st-December 31^st).

4. Delivery/Shipping

(A) Shipping  details will be provided in the price list.

(B) All delivery dates are best estimates based upon prevailing conditions when given and Seller should not be liable to Buyer or otherwise in breach of this Agreement for any delays or damages during shipment or failure to deliver products by the delivery date.

(C) Buyer shall inspect all Products immediately after arrival and shall notify Seller by e-mail within 3 days after the receipt of any shortages, non conformance with the purchase order or any other failure under this Agreement. If any shipment arrive with severe damage, buyer shall reject and inform the courier company immediately ,take pictures, and notify Gamma LED Vision of such damage during shipment.

6. Return Policy

A Return Authorization (RA) Number must be obtained by Seller prior to sending the item(s) back to Seller. To obtain The Return Authorization

form , e-mail to glv@gammaledvision.com . An RA is valid only for 30 days from date issued.

Return Policy-   All sales are final. There are no returns or refunds, except for exchange of another product or for warranty purposes .The merchandise must be in new condition- unused and undamaged in any way and return in its original packaging within 30 days. All merchandise being returned after 30 days is subject to restocking fee of 15%.

RMA– Return for Repair- See Warranty disclosure. If not under warranty , the price would vary based on the cost of parts and the labor needed to repair the unit. It depends on the unit and the issues that the unit has.

7. Termination– It is agreed that the Seller or Buyer may terminate this contract for any reason(s) provided that written notice is given within 30 days. Such termination does not relieve the Buyers obligation to pay the Seller all sums due.

8. Litigation– The parties agrees that any disputes, court hearings or administrative proceeding will be initiated and take place in Fort Lauderdale, Florida. This agreement shall be construed according to the laws of Florida.

9. General– This Agreement contains the entire understanding of the parties, shall supersede any other oral or written agreement , and shall be binding upon and inure to the benefit of the parties successors and assigns. It may not be modified in any way without the written consent of both parties
